how do I turn this into getting an agent? Should i just start calling agencies saying i have a sale in the bag? Should i wait til after?
I'm really excited and a little scared. What should i do?

First of all, relax. You have to do this one step at a time.
I presume you handled your own marketing and got a prodco that wants to buy your script.
They are sending some sort of deal memo to you that covers the important points of your deal.
The most important thing you need now is an entertainment
attorney to handle the actual documentation.
Do you have an entertainment attorney?
Have you agreed on a sales price, option price, option time, etc.?
As far as getting an agent, it depends on a lot of factors.
Is this an outright sale or an option. (I presume option)
What size is the prodco and what is their track record?
Any attachments?
What genre is the script?
Agents hear from writers all of the time with pending deals.
Many of the deals never happen. They fall apart.
If the prodco is known, with an established record, an agent will be more inclined to get involved than with a new, unknown prodco.
If it is an established prodco, and the deal looks solid, you may want to contact some managers and agents and let
them know what is happening. The agents will absolutely want to read the script before committing to anything.
Obviously, if the script gets their hearts pounding, you may
end up with an agent or manager.
Were I you, I would get the attorney first and let him start handling the paper and then worry about getting a manager or agent.
